These Terms of Service (“Terms”) govern your access to and use of the websites magikbit.com and marketing.magikbit.com and the related products and services (collectively, the “Service”) provided by MAGIKBIT (“MAGIKBIT”, “we”, “us”, or “our”).

By accessing or using the Service you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
• You must provide accurate, current, and complete information when creating an account, and keep that information up to date.
• You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at security@magikbit.com if you suspect any unauthorized use.

2. Description of the Service

MAGIKBIT provides a hosted social media management platform that lets businesses schedule, publish, and analyze content across third-party social networks (such as TikTok, YouTube, X, LinkedIn, Slack, Facebook, Instagram, and Threads). The Service relies on the official APIs and OAuth flows of those platforms; access to any particular platform is subject to that platform’s own terms and may change without notice.

3. Subscriptions and Billing

• Paid plans are offered on a recurring monthly or annual subscription. Pricing is shown on our marketing page and may be changed with 30 days’ notice.
• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Payments are processed by Stripe. By providing payment information you authorize us to charge the applicable fees, including taxes where required.
• Refunds are issued at our discretion in line with the policy described on our pricing page.

4. Acceptable Use

You agree not to use the Service to:

• Violate any law or the rights of any person, including intellectual-property rights;
• Publish or schedule content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that infringes third-party rights;
• Send spam, engage in coordinated inauthentic behavior, manipulate engagement metrics, or otherwise violate the platform policies of TikTok, YouTube, X, LinkedIn, Meta, or any other connected service;
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure; probe, scan, or test the vulnerability of any system without written permission;
• Reverse engineer, decompile, or extract the source code of the Service except where such restrictions are prohibited by law;
• Use automated means (bots, scrapers) to access the Service in a manner that overloads our infrastructure or that of any connected platform;
• Resell, sublicense, or white-label the Service without a separate written agreement.

We may suspend or terminate accounts that we reasonably believe are violating these rules, with or without notice. Repeated or egregious violations may also be reported to the relevant connected platform.

5. Your Content

You retain ownership of all content you upload, schedule, or publish through the Service (“Your Content”). You grant MAGIKBIT a limited, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely as necessary to operate the Service on your behalf (including delivering Your Content to the social platforms you connect).

You represent and warrant that you own Your Content or have all rights necessary to grant the license above, and that publishing Your Content through the Service will not violate any third-party rights or platform policies.

6. Third-Party Platforms

The Service depends on access to third-party social platforms. When you connect a platform you also agree to that platform’s terms, including:

• TikTok Developer Terms of Service and TikTok’s Community Guidelines;
• YouTube Terms of Service and the YouTube API Services Terms;
• Equivalent terms for X, LinkedIn, Meta (Facebook / Instagram / Threads), Slack, and any other platform you connect.

MAGIKBIT is not responsible for the availability, accuracy, or behavior of any third-party platform, nor for content already published on a third-party platform if you later disconnect or delete your MAGIKBIT account.

7. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by MAGIKBIT and its licensors and is protected by intellectual-property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it under these Terms.

8. Privacy

Our Privacy Policy explains how we collect, use, and protect your information. You agree to that policy by using the Service.

9. Suspension and Termination

• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate access if you violate these Terms, if your payment is overdue, if continued service is required to comply with the law, or if a connected platform requires us to do so.
• Upon termination, your access ceases and your data is handled in accordance with the retention rules in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. MAGIKBIT DOES NOT GUARANTEE THAT POSTS WILL BE DELIVERED ON TIME OR AT ALL IF A THIRD-PARTY PLATFORM REJECTS, RATE-LIMITS, OR FAILS TO ACCEPT THEM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIKBIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless MAGIKBIT from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right, including any platform’s terms.

13. Modifications

We may modify these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Material changes will be communicated by email to active customers at least 14 days before they take effect. Continued use of the Service after a change constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration in Wilmington, Delaware, under the Commercial Arbitration Rules of the American Arbitration Association, except either party may seek injunctive relief in any court of competent jurisdiction for the protection of intellectual-property rights.
